EarthyGreen Eco (Pvt) Ltd (referred to as “EarthyGreen Eco,” “Vision R,” “we,” “us,” or “our”) provides the Vision R mobile application (the “App”) and website (the “Platform”). By accessing or using the App or Platform, you agree to be bound by these Terms and Conditions. This agreement constitutes a legally binding contract between EarthyGreen Eco (Pvt) Ltd and the User (and where applicable, the Guardian).
1. Definitions & Vision R’s Role and Authority
1.1. Definitions
- Platform: The Vision R mobile application and website, operated by EarthyGreen Eco (Pvt) Ltd.
- Domestic User (DU) / Financial User: Any User utilizing transactional features, who must be 18 years of age or older. This includes Domestic Users, Waste Collectors (WC), Service Providers (SPs), Merchant Partners (MPs), and Guardians of Student Users.
- Student User (Minor): A User under the age of 18, registered exclusively for educational initiatives and earning points.
- Guardian: The parent or legal guardian of a Student User, who must be a Domestic User (DU) and the authorized holder of the linked bank account.
- Vision R Wallet: The stored value system on the App. For Student Users, the balance is held as Eco-Points, which are fully convertible to LKR cash.
- Services: All functions offered on the Platform, including scheduling, booking, purchasing, and the operation of the Vision R Wallet.
1.2. Vision R’s Role as Intermediary and Technology Provider
Vision R functions strictly as a technology intermediary and service matching provider. We facilitate the connection between Users. We are neither a transportation provider, a service employer, nor a retailer of goods. You expressly acknowledge and agree that Vision R does not assume any liability for the conduct, quality, or obligations of any Waste Collector, Service Provider, or Merchant Partner.
2. Age Restriction, Consent, and Financial Liability
2.1. Financial and Age Restrictions
- Financial Users: All Users engaging in financial transactions, including fund transfers, receiving payouts, or initiating withdrawals (including withdrawals on behalf of a student), must be 18 years of age or older.
- Students (Minors): Student Users under the age of 18 are prohibited from managing LKR cash balances or initiating withdrawals. Their Eco-Points system is strictly a tracking mechanism for value earned.
2.2. Guardian’s Acceptance and Liability
- Mandatory Consent: Enrollment and continued participation of a Student User in any activity or feature of the Platform, including the Eco-Points system, requires the express, digital consent of their Guardian (Domestic User).
- Waiver of Minority: The Guardian hereby warrants that they are the legal parent or guardian of the Student User and agrees to these Terms, thereby waiving any right to void the agreement based on the Student User's minority.
- Financial Accountability: The Guardian (Domestic User) assumes full and primary liability for the Student User's account. All withdrawal requests of Eco-Points must be initiated by the Student User and processed solely to the Guardian's pre-approved bank account, making the Guardian the ultimate receiver and financially responsible party.
2.3. Withdrawal Procedure for Eco-Points
- Initiation: The Student User may initiate a request to convert and withdraw their accumulated Eco-Points.
- Destination: The converted LKR cash equivalent will be transferred exclusively to the bank account linked and verified under the Guardian's Domestic User account.
- Finality: The Guardian is responsible for verifying the accuracy of the bank details provided. Vision R bears no liability for funds transferred to an incorrect account specified by the Guardian.
3. Disclaimers and Indemnification
3.1. Limitation of Liability
To the maximum extent permitted by the laws of Sri Lanka, EarthyGreen Eco (Pvt) Ltd shall not be liable for any direct, indirect, incidental, or consequential damages whatsoever (including but not limited to loss of profits, data, or business interruption) arising out of or in connection with:
- Any act, omission, negligence, or breach of contract by any WC, SP, or MP.
- Any injury, damage to property, or loss arising from the use of services or the quality of goods transacted through the Platform.
- Any dispute arising from cash payments (including Cash on Delivery) where the Domestic User failed to verify the quality or conformity of the goods or services at the point of exchange.
3.2. User Indemnification
The User, or the Guardian on behalf of the Student User, agrees to indemnify, defend, and hold harmless Vision R and its affiliates from and against any and all claims, liabilities, costs, and expenses arising from the use of the Platform or the breach of these Terms.
4. Vision R Wallet and Financial Terms
4.1. Eco-Points as Stored Value
The Eco-Points held in the Student Wallet represent stored value which is convertible to LKR cash, and their management is subject to internal anti-money laundering (AML) and financial compliance policies. Vision R reserves the right to impose limits or hold funds as required by regulatory compliance.
4.2. Payment Hold and Inspection Policy
- Card Payments (Digital Transactions): A mandatory three (3) day holding period shall apply exclusively to funds received by Vision R via third-party Internet Payment Gateways (IPG) or direct card processing. This period is intended to provide the Domestic User with a limited window to report non-conformity or non-delivery of the service or goods. Final settlement to the Service Provider or Merchant Partner shall be released only after the expiration of this holding period, provided no dispute has been raised.
- Cash Payments (Physical Transactions): For any transaction settled by the Domestic User directly with the Merchant Partner or Service Provider using cash or Cash on Delivery (COD), the payment is deemed immediate and final. The Domestic User expressly acknowledges and accepts that they assume full and sole responsibility for inspecting and verifying the quality, quantity, and conformity of the goods or services at the precise moment of handover. Vision R shall not offer any post-payment recourse, refund, or dispute resolution mechanism for cash transactions, as no electronic funds were held by the Platform.
4.3. Taxes
You are solely responsible for calculating and remitting all applicable taxes arising from your use of the Platform or earnings received.
5. General Provisions
5.1. User Obligations
- Domestic Users must be at least 18 years of age to register and utilize the payment-related features.
- You must provide accurate, complete, and truthful registration information and comply with all applicable Sri Lankan laws and regulations.
5.2. Governing Law and Jurisdiction
These Terms and Conditions shall be construed, interpreted, and governed by the laws of Sri Lanka. Any dispute arising hereunder shall be subject to the exclusive jurisdiction of the competent courts of Sri Lanka.
